This Agreement is entered into on Date of Drop Off, by and between:
The Art & Soul Cafe

1. PURPOSE
The Artist agrees to consign artwork to the Cafe for display and potential sale at the Cafe’s premises.
2. COMMISSION & PRICING
The Cafe shall retain a 20% commission on the retail sale price of any artwork sold; the remaining 80% shall be paid to the Artist. Payment will be available within seven (7) days of the sale via cheque.
All sale prices are established at the time of artwork drop-off. The cafe shall not offer or authorize any discounts, negotiations, or price adjustments without the artist’s approval.
3. DISPLAY & CURATION
The Cafe reserves the exclusive right to install, display, move, and curate all artwork. Artwork placement, grouping, and presentation are at the Cafe’s sole discretion.
4. ARTWORK REQUIREMENTS
All artwork must be properly wired and ready to hang at the time of drop-off. Each piece must be clearly labeled with the Artist’s name, title, medium, and retail price. Artwork that does not meet these requirements may be refused.
5. DROP-OFF & PICK-UP
Artwork will only be dropped off when requested by the Cafe. A mutually agreed-upon pickup date will be confirmed in writing. The Artist is responsible for collecting any unsold work by the agreed pickup date, unless otherwise arranged.
6. UNCLAIMED ARTWORK
Unless other arrangements are made, any artwork not picked up within thirty (30) days of the arranged pickup date shall become the property of the Cafe without compensation to the Artist. The Cafe will then have full ownership rights, including resale or disposal.
7. CARE & LIABILITY
The Cafe agrees to exercise reasonable care while artwork is in its possession. The Cafe is not responsible for loss or damage due to theft, fire, flood, vandalism, or other circumstances beyond its control, unless caused by gross negligence.
8. OWNERSHIP & COPYRIGHT
The Artist retains full copyright to all artwork unless sold. The Cafe may photograph artwork for promotional and marketing purposes without additional compensation.
